Notice of Registration Certification

Applying for enterprise name
I  Submit the following materials to registration organ for audit:

1. Notice of Advance Approval of Enterprise Name singed by the investor
2. Authorized document of contributor
3. Identification certificate of the investor (if the enterprise is invested by a corporation shareholder, a copy of business license with corporate seal should be submitted)
4. Approval documents from the administrative department or from the approval organ
5. Other relevant materials

II  Obtain the Notice of Advance Approval of Enterprise Name two or three working days later
Note: The investment promotion department will send the Notice of Advance Approval of Enterprise Name to the customer and the customer should return the notice to the department after the signing.

Establishing Limited Companies
Apply for business establishment registration and submit the following materials:
(1) Notice of Advance Approval of Enterprise Name
(2) Application for enterprise establishment signed by corporate legal representative and shareholders
(3) Certificate of appointed representative or jointly entrusted agent by all the shareholders or board of directors
(4) Corporate articles
(5) Resolution of corporate shareholder meeting
(6) Certificate of subject qualification of shareholders or originator, or identification certificate of natural persons
(7) Investment verification certificate presented by legally established investment verification organs
(8) If the initial contribution from the shareholder or originator is non-currency asset, the certification documents for property transfer formalities should be submitted before business establishment registration.
(9) Appointment documents and identification certificates of corporate legal representative, directors, executives, and managers.
(10) Domicile using certificate (original) and one copy of property ownership certificate with the corporate seal
(11) If applied operation scope is the item that must be approved before registration according to the stipulation by the laws, regulations, or State Council resolutions, the relevant approval documents should be submitted.
(12) Other relevant documents and certificates
Note: The customer can obtain the relevant materials from the investment promotion department. The customer should carry his original ID card to Yecheng industrial & commercial administration office for identification confirmation and sign the relevant materials. The manufacturing enterprise should wait for the on-the-spot examination of the industrial & commercial departments.

Establishing non-corporate enterprise
I  Apply for business establishment registration and submit the following materials:
(1) Application for Establishment of non-corporate Enterprise signed by principal responsible person of the enterprise
(2) Certificate of the authorized attorney of contributor
(3) Approval documents from the administrative department or from the approval organ
(4) Articles of enterprise legal person
(5) Qualification certificate of the contributor as a legal person
(6) Investment verification certificate
(7) Appointment document and identification certificate of legal representative
(8) Domicile using certificate (original) and one copy of property ownership certificate with the corporate seal
(9) Notice of Advance Approval of Enterprise Name
(10) Other relevant documents and certificates

Establishing Partnership Enterprise

Apply for business establishment registration and submit the following materials:
(1) Application for Establishment of Partnership Enterprise signed by all the partners
(2) Identification certificates of all the partners
(3) Certificate of appointed representative or jointly entrusted agent by all the partners
(4) Partnership agreement
(5) Capital contribution certificate
(6) Certificate of the business site (original) and one copy of property ownership certificate with the corporate seal

Establishing Sole Proprietorship Enterprise
I  Apply for business establishment registration and submit the following materials:
(1) Application for Establishment of Sole Proprietorship Enterprise signed by the investor and one photo of the investor
(2) Identification certificate of the investor
(3) Certificate of the authorized agent of the investor
(4) Original of corporate address certificate and one copy of property ownership certificate with the corporate seal
(5) Other relevant documents and certificates
