I. Joint review on the project

• Relief map of the leased land
• General plan of the project/sketch map of the project’s overall arrangement
• Feasibility study report or project proposal
• Photocopy of investor’s business license
• Banker’s reference (Chinese party should provide the balance sheet of last fiscal year and financial audit report)
• Letter of undertaking
• Other related materials

II. Verification of a new company’s name (the following documents should be offered each of a copy)

• photocopy of foreign party’s business license (attached with corresponding Chinese translation)
• Identification paper of foreign party’s legal person (passport or photocopy of ID)
• Requisition for aforehand enterprise name examination and approval
• Other related materials

For joint ventures additional documents are needed:

• Photocopy of Chinese party’s business license (official stamp affixed )
• Identification paper of Chinese party’s legal person (passport or photocopy of ID)

III. Declaration to Foreign Economic Relations& Trade Commission (each of one copy of the following documents needed and double copies are needed for the approval by the municipality)

1. Photocopy of foreign party’s business license (attached with corresponding Chinese translation)
2. Identification paper of foreign party’s legal person (passport or photocopy of ID)
3. Banker’s reference of the foreign party (attached with corresponding Chinese translation)
4. Advice notice of the previous examination and approval of enterprise’s name by the Bureau of Commerce and Industry (photocopy)
5. Assignment letters of members of the Board of Directors, photocopies of passports and ID of all members of the Board of Directors
6. (Contract), charter and feasibility report (with signature of the investor and affixed official stamp of Chinese party)
7. Original script of the lease agreement or (photocopy of the letter of intent of land lease), photocopies of property ownership certificate and land use certificate, photocopy of the business license of house lessor
8. For investors who are offshore companies, the business license, banker’s reference, investment letter of undertaking of its parent companies should be presented (only original scripts needed)
9. Counterfoil of approval certificate of foreign funded companies (to be filled out in Foreign Economic Relations& Trade Commission)
1. Agency company’s request instruction
2. Other concerned materials
   

For joint ventures additional documents should be submitted:
1. Photocopy of Chinese party’s business license
2. Identification paper of Chinese party’s legal person (passport or the photocopy of ID)
3. Photocopy of Chinese party’s auditing report

IV. Declaration to the Bureau of Industry and Commerce (one copy of each of the following documents needed)

1. Photocopy of foreign party’s business license (attached with corresponding Chinese translation). Notorial document or the original script to be attached for verification
2. Identification paper of foreign party’s legal person (passport or photocopy of ID)
3. Banker’s reference of the foreign party (attached with corresponding Chinese translation)
4. Advice notice of the previous examination and approval of enterprise’s name by the Bureau of Commerce and Industry (the original script)
5. Assignment letters of members of the Board of Directors, photocopies of passports and ID of all members of the Board of Directors
6. (Contract), charter and feasibility report (with signature of the investor and affixed official stamp of Chinese party)
7. Original script of the lease agreement or (photocopy of the letter of intent of land lease), photocopies of property ownership certificate and land use certificate, photocopy of the business license of house lessor (lessor’s official stamp to be affixed)
8. Requisition for the registration of establishment of foreign funded enterprises (a photo of the legal person to be enclosed)
9. Duplicate of the certificate of approval (I)
10. Administrative reply by the government of the Industrial Zone
11. Certificate of authorization for enterprise registration
12. Other materials concerned
    For joint ventures the following additional documents are needed:
1. Photocopy of Chinese party’s business license (public stamp affixed)
2. Identification paper of Chinese party’s legal person (passport or photocopy of ID)
